EBN represented Permira in a US$1.9 Billion transaction for the sale of its holdings in Netafim to Mexichem | 2017

EBN has represented private equity fund, Permira, in the sale of all of its holdings (approximately 61%) in iconic drip irrigation pioneer Netafim to Mexichem, a Mexican public company for US $1.9 billion.


This is one of the largest and most complex transactions in the Israeli economy in 2017.


The transaction was led by partners - Doni Toledano, Nitzan Aberbach, Roy Caner, Lior Oren, Dan Sela, Yoav Dankner, Roy Harash and Michal Rothschild, together with lawyers in the Real Estate department, the Litigation Department, the Employment department and the Antitrust department.

Sirius Acquires Shares of the Phoenix Holdings from Delek Holdings | 2017

Our firm represented the insurance company Sirius, in the acquisition of shares of The Phoenix Holdings, from its controlling shareholder Delek Holdings. The transaction valued The Phoenix Holdings at NIS 4.8 billion and included an initial acquisition of 4.9% of Phoenix and an option to purchase Delek's remaining shares (47.4%).

Mr. Zvika Shalom will be recognized as an employee of the Israel Airports Authority | 2017

EBN represented Mr. Zvika Shalom, former Chairman of the Israel Airports Authority (IAA), in a significant employment dispute with the IAA, relating to his status as an employee.


The Labor Court accepted Mr. Shalom's claim that he should be recognized as an employee of the IAA, and, as such, entitled to receive his employment rights.


The Court also condemned the conduct of the IAA towards Mr. Shalom, including the procedure itself, and took this into consideration when determining the expenses owed by the IAA.

Our firm represented leading global venture capital funds in a USD 200 million divestiture of their portfolio company Hola Networks to EMK Capital Partners LLP | 2017

Our firm represented Magma Venture Partners, Horizons Ventures, DFJ Venture Capital, Trilogy Equity, Iris Capital and DFJ Tamir Fishman (collectively, the "Funds"), all leading global venture capital funds, in a USD 200 million divestiture of their portfolio company Hola Networks to EMK Capital Partners LLP, a UK private equity fund.


This fairly complex transaction involved a pre-transaction spin off of some of the existing businesses of Hola Networks to a newly formed company that will be owned by the Funds, a unique structuring and a capital reduction that requires court approval.

Our firm acted for US public company Ferro Corporation (NYSE: FOE), as Israeli counsel, on its USD 80 million cross-border acquisition of Israeli private company, Dip Tech Ltd. This was Ferro's first acquisition in Israel.


Ferro is a pioneer in various technologies in the ceramics, electronics, glass and pigments markets and the acquisition will give it access to the growing and innovative digital glass printing market.

Gebr. Heinemann, together with James Richardson, won the tender to operate duty free shops at Ben Gurion Airport | 2017

Our firm represented Gebr. Heinemann, who together with James Richardson, won the tender issued by the Israeli Airport Authority (IAA) to operate duty free shops (LTPCC) in Terminal 3 and Terminal 1 at Ben Gurion Airport. The concession was awarded by the IAA for a period of 10 years, and will be operated by a jointly owned partnership.  


Heinemann, a family-owned company based in Hamburg, Germany, is a major force in the travel retail market, operating shops at 78 airports located in 29 different countries, and is considered today the fourth largest duty free operator in the world. The duty free shops in Ben Gurion Airport at Tel Aviv are considered among the most profitable duty free shops in the world.

We represent Megalim Solar Power Ltd., in the development of a 121MW Solar Energy Thermal Power Station in Ashalim Plot B, Israel. Once completed it will be one of the most advanced and sophisticated renewable energy projects in Israel and one of the most innovative projects globally.

A new ruling imposes liability on directors for prohibited distribution of dividends: The District Court charged four directors of Malrag - Engineering and Construction Ltd, which entered into insolvency proceedings, for the amount of the dividends totaling NIS 20 million. The Judge denied the claim brought against another three directors with regard to a different distribution made by the company in the amount of NIS 8 million.


Adv. Ran Sprinzak, a partner in our firm, represented the three directors that the claim against them was denied.

EBN is proud to introduce a new Insolvency department at the firm after adding seven lawyers from the highly respected Kalir Binyamini Law Firm.

The Tel Aviv District Court rejected Cellcom's 34 million NIS suit against Bezeq | 2016

The Tel Aviv District Court rejected Cellcom's 34 million NIS suit against Bezeq.


Cellcom demanded of Bezeq to pay for text messages when sent from Bezeq to Cellcom. The price was set in an agreement signed by the parties back in 2004, even though the price was hundreds and even thousands percent higher than the price specified in the Communications Regulations. These apply to cellular operators only. Although the Court came to the conclusion that the agreement supports Cellcom's position, it agreed with Bezeq - that the price required by Cellcom is unreasonable, discriminating Bezeq from other carriers and it is contrary to the provisions of the Communications Act.

Tene Investment Fund acquired ~3% of the share capital of CaesarStone, second largest manufacturer of quartz surface for kitchens. In addition, Tene was granted with an option to acquire additional ~6% share capital. The transaction investment amount is US$43 million at first stage, reflecting a company value of US$1.5 Billion.

Representation of Milgrom family in lawsuit against Technion | 2016

Representation of Africa Israel in a combination deal | 2016

Erdinast, Ben Nathan, Toledano & Co. represented Africa Israel Residences the signing of a NIS 27 million combination agreement with three private landowners for the establishment of a residential and commercial project in Ramat Gan. The project includes plans for 62 residential units in a new residential building that includes facade preservation, as well as commercial areas and a three level garage. Our firm represents Mr. Moti Ben-Moshe in a legal conflict conducted between Mr. Eduardo Elsztain and himself, with respect to their joint investment in IDB, Israel’s largest holdings corporation. Over the course of an arbitration procedure between Ben-Moshe and Elsztain, Ben-Moshe’s approach had been sided with and it has been declared that Elsztain is exclusively obliged for the entirety of obligations determined in the debt arrangement (including and obligation at the sum of 512 million ILS to perform tender offers) after he purchases Ben-Moshe’s shares for the sum of 152 million ILS. During the aforementioned procedure, an injunction which prevented Ben-Moshe’s removal from IDB’s board of directors was granted in Ben-Moshe’s favor. In another procedure held at the Tel Aviv district court, our firm has succeeded in bringing to the denial of an appeal to initiate foreclosure upon the funds received by Ben-Moshe after selling his shares to Elsztain.

largest payout ever determined in Israel for a single plaintiff | 2015

the Supreme Court of Israel accepted the appeal of Gad Zeevi against the seven largest banks in Israel. In a case led by Giora Erdinast, Ran Sprinzak, Tomer Weissman Efrat Cibulski and Yuval Naim, the Supreme Court stated that the default interest charged from Zeevi pursuant to a loan agreement, made in order to finance the purchase of Bezeq shares, constituted a form of liquidated damages, and should be reduced. As a result, the banks were required to repay Zeevi NIS 280 million, the largest payout ever determined in Israel for a single plaintiff.

Bezeq-Yes merger is underway | 2015

Israeli Prime Minister Benjamin Netanyahu, as the Minister of Communications, approved the merger between Bezeq and the satellite TV operator Yes. The decision came after the Israeli Antitrust Commissioner approved the merger of Bezeq and Yes last year under several terms that will ensure that such merger will not undermine competition in the multi-channel TV market.

Crowd Funding - Article | 2015

M&A and Hi-Tech Partners, Roy Caner and Viva Gayer wrote an article published in 'Start Israel' the Portal for Israeli Entrepreneurship. The article discusses the fast growing funding method called “Crowd Funding”. Representation of former CEO of 'Gvaot Olam' in legal proceedings against his partners | 2015

Erdinast, Ben Nathan represents Tuvia Luskin, the former CEO, a shareholder and director of Givot Olam, in legal proceedings against the other shareholders of the company, in which he claims for oppression of minority. The long standing dispute on the project "Shukanion" in Jerusalem has finally come to a close | 2015

Litigation Partner Ran Sprinzak and Noa Bar, represented Ephraim Henig in a law suit spanning over 14 years regarding the "Shukanion" adjacent to Mahane Yehuda market in Jerusalem. Henig's partner on this project, the Arenson company, claimed that Henig and Papouchado did not provide the money they were supposed to allocate for the project. The legal proceedings concluded with Henig winning the lawsuit.

Representing "Radio Darom" in a petition to the High Court of Justice against the Second Authority for Television and Radio and the Minister of Communications | 2015

At the beginning of April, the radio station "Radio Darom", represented by Rami Ben Nathan, Noa Geva and Modi Sherpsky, filed a petition to the High Court of Justice to cancel the decision of the Second Authority for Television and Radio to withdraw the permit allowing the station to split its broadcasts into a special broadcast to the people living in the South of Israel on the Gaza border and a different broadcast to the rest of the audience in the south. The petition holds that the splitting of broadcasts is an essential service to the people living in this area and that the permit was legally issued by the Second Authority. The petition also touches on numerous additional flaws in the decision. Being fundamentally flawed, the withdrawal of the permit must be canceled.

A huge transaction that is set to bring, NTT,  a Japanese media giant, to Israel, was recently finalized after two years of negotiations. Neta Bromberg's Responds to Sexual Harassment Ruling – Ynet | 2015

Neta Bromberg, from the labor law department at EBN, was interviewed by Ynet about a resolution stating that it is considered sexual harassment for an employer to threaten an employee to reveal private details about her so called romantic life  awarding the employee  a compensation of 10,000 Shekels. According to Bromberg, we are witnessing another interpretation of the Prevention of Sexual Harassment law. This commentary indicates that there should be an absolute separation between  the employee's private life and the work place (whether such statements related to the employee are true or untrue), and that it is the employer’s duty to preserve the employee's good reputation.

EBN Represents a Patient in a Precedential Ruling Allowing the Disuse of Ventilators | 2014

Legal precedent in the area of euthanasia in Israel - an unprecedented decision taken by the Tel Aviv county court to allow the use of euthanasia on an ALS patient. Giora Erdinast, founding partner and head of the litigation department at EBN, led the claim of the patient who remained lucid yet lost the ability to speak, eat, or breathe on his own due to his muscular dystrophy. Head of EBN's Energy Department Responds to Government Authorization of new MW400 Quotas. | 2014

Uri Noy, head of EBN's Energy & Infrastructure department was quoted in the financial press with regards to the recent government resolution allocating 400 MW quota to solar energy projects in Israel. Uri believes that this action, although two years late, will rejuvenate the solar sector. EBN is a market leader in the field of renewable energy, in general, and solar energy in particular, since the inception of this market in Israel. EBN has handled the financial closing of more than half of the total 500MW of solar energy projects which were constructed in Israel.

EBN Represents the Supermarket Chain AM:PM as part of a Denied Motion for Inhibiting the Opening of Businesses during Shabbat | 2014

A Court in Tel Aviv dismissed a motion to shut down businesses operating on the Sabbath. The Court declared that Interior Minister Gideon Saar's decision to suspend a law that will allow operation on the Sabbath is void. Giora Erdinast, Tomer Weissman, Avi Stav, Chen Neeman, and Yehudit Maayan from EBN represented AMPM, a national supermarket chain. Giora Erdinast: "The ruling means that the businesses currently operating on the Sabbath in Tel Aviv can continue doing so and Tel Aviv’s character will be determined by its residents and not by the personal view point of the Interior Minister”.
