Congratulations to our client, Blue Square Real Estate Ltd., which signed a deal to acquire the other 50% of GINDI Group’s shares in TLV Fashion mall for 225 million NIS, and additional direct permutations such as discharging Gindi Group from prior guarantees.

Merger Approved! Bank Mizrahi-Tefahot and Bank Igud will be permitted to merge following an almost unprecedented decision, a first in the past decade, by the Competition Tribunal (Hon. Judge Oded Shaham) that granted the appeal against the decision by the Israel Competition Authority to prohibit the merger. The Judge stated that there is no basis to conclude that the merger between the two banks would substantially harm competition in Israel, despite claims to the contrary made by the Israel Competition Authority. The students of the struggling college which found itself with a NIS 84M debt, will be going to school in four other private colleges – The College of Law & Business in Ramat Gan, The College of Management , Ono Academic College and Peres Academic Center.
Raanan Kalir, Co-Head of the Insolvency Department, was appointed together with Shlomo Ness as an officer of the court to rescue the college. The efforts of the officers proved to be fruitful and after two intensive weeks, a solution was achieved for all students and lecturers to be accepted to four other colleges. The solution was blessed by the court and the Council of Higher Education, who praised the vigorous efforts of the officers.

Amendment to the Restrictive Trade Practices Law

On January 10, 2019, an amendment to the Restrictive Trade Practices Law, now known under its new name, the “Economic Competition Law”, entered into force. Michal Rothschild, head of Antitrust & Competition Department and Arik Brenneisen, a partner in the department, summarized the main changes to the law, which expand the powers of the Competition Commissioner. The main changes are to the definition of what constitutes a “monopoly”, certain provisions regarding merger control, and the sanctions for violating the provisions of the law.

Tene Investment Fund acquired ~3% of the share capital of CaesarStone, second largest manufacturer of quartz surface for kitchens. In addition, Tene was granted with an option to acquire additional ~6% share capital. The transaction investment amount is US$43 million at first stage, reflecting a company value of US$1.5 Billion.

Antitrust Law Client Update – Decisions clarifying enforcement policy

The Antitrust Tribunal and the Israeli Antitrust Authority (IAA) have recently issued several decisions clarifying the enforcement policy of the IAA and the penalty standard in antitrust offenses. Some insights can be derived from the recent decisions: the IAA has expanded its enforcement efforts and begun widespread implementation of monetary penalties; the IAA has requested the incarceration of senior office holders; enforcement efforts are also being targeted at medium-sized and small businesses; the IAA continues to consider “bid-rigging” a fundamental offense; and technical violations of the Restrictive Trade Practices Law, 5748-1988 are being increasingly enforced.
