Hadas Bekel, a partner in our Litigation Department which specializes in class action litigation, participated in the 9th annual class action conference that took place this week at the David Intercontinental Hotel in Tel Aviv.
Her lecture, in the opening session of the conference, dealt with the ruling of the supreme court on the fundamental question of awarding compensation to the applicant and fees to his representatives, in arrangements for leaving class actions.
Hadas reviewed the rules outlined by the supreme court on this matter and explained that this ruling, along with an additional legislative response to the imposition of fees for the filing of class actions, constitutes a barrier to the filing of false proceedings, and led in recent months to a decline in the number of class actions filed.

On June 4th, 2018, our firm participated in TheMarker’s M&A conference sponsored by PwC, which took place at the Dan Panorama Hotel in Tel Aviv.
Adv. Doni Toledano, Head of M&A department, provided a lecture to the participants of the conference, including senior managers and decision-makers of the Israeli market, about “Regulatory Aspects of M&A transactions”, and presented unique issues and solutions to complex regulatory matters being encountered in the framework of M&A transactions. Adv. Doni Toledano, who leads the team representing Bank Mizrahi-Tefahot in the acquisition transaction of Union Bank, addressed, inter alia, the statements which were raised during the conference by the Economy Minister, Mr. Eli Cohen, and the Antitrust Commissioner, Mrs. Michal Halperin’s, and argued that the decision granted by the Antitrust Authority to object to said transaction is incorrect and unreasonable and will not stand the test of time.
Adv. Lior Oren, a partner in the M&A department and a co-manager of the Private Equity activity, participated in a panel titled “From Purchase to Value Overflow – How to Do It”, which was guided by Rubi Suliman (a partner in PwC), and also participated Ran Ben-Or (a partner in Tene Investments Fund) and Boaz Dinte (a managing partner in Qumra Capital). As part of the panel, Adv. Lior Oren presented, inter alia, unique regulatory issues related to investment and private equity funds in their M&A transactions.

We had the pleasure hosting a seminar on Directors’ Liability and Insurance in collaboration with Israel’s Directors Union and Menorah Mivtachim, which dealt with issues such as directors enhanced responsibilities, dividend decision making process (post Malrag ruling) and the responsibility of directors in an insolvency environment.
Speakers were: Ran Sprinzak (Co-Head of our Litigation Department) and Raanan Kalir (Co-Head of our Insolvency & Restructuring Department).

A precedential ruling in favor of our client Israel Aerospace Industries

On April 24, 2018 the Supreme Court issued a ruling in CC 4857/16 Menashe v. Uvision Air, in which our firm represented Israel Aerospace Industries. The representation in the case was led by Adv. Ran Sprinzak, a co-manager of our litigation department.
The ruling, in which our client’s claims were accepted, has set several important precedents regarding the Business Judgment Rule (BJR), as a defense of board members of the company, in the context of a derivative action. The ruling applied the BJR for the first time in Israel on a board decision not to file a lawsuit on behalf of the company against a third party.

The American Lawyer Magazine published its annual Israel report titled “Israel’s Evolving Relationship with the U.S.”. Doni Toledano, head of EBN’s M&A department, was quoted in the article saying, among others: “U.S. clients have been open to accept Israeli law firms as their advisors and general counsel and not only as lawyers who are retained for the purpose of completing a single task or providing limited input regarding Israeli law”.
A merger between EBN and insolvency specialists, Kalir Binyamini Law Firm

EBN is proud to introduce a new Insolvency department at the firm after adding seven lawyers from the highly respected Kalir Binyamini Law Firm.
Founded by partners Raanan Kalir and Alon Binyamini, Kalir Binyamini was considered one of the most prominent firms in the field of insolvency and debt arrangements and has been involved in some of the most notable corporate bankruptcy cases in Israel.
In addition to Kalir and Binyamini, EBN also welcomes partner Hagar Guri and four additional lawyers to spearhead the new department.
After the merger, the firm will comprise of 110 lawyers, including 30 partners.
