Congratulations to Isracard Ltd., Israel’s largest credit card company, for entering into a merger agreement for its acquisition by Harel Insurance Services and Financial Investments Ltd., Israel’s largest insurance group, for a consideration of approximately NIS 3 billion.
At closing, Israrcard will become a private company wholly owned by Harel.

Last week, the Economic Department of the District Court in Tel Aviv published a decision in a case in which a request for approval of a class action against the “Delek Group” was approved, based on allegations of publishing a partial and misleading disclosure regarding loans the group took. The decision includes several important legal determinations. Attached is a memorandum published by our firm’s capital market and securities department on the subject.
