Erdinast, Ben Nathan, Toledano & Co. represented Kaymera, an Israeli telecom startup, in raising USD 10 million from Chinese strategic and financial investors.
Kaymera Technologies was represented by partners Roy Caner and Viva Gayer and by Adv. Hila Gafni.
Erdinast, Ben Nathan, Toledano & Co. represented Africa Israel Residences Ltd.in the signing of a NIS 27 million combination agreement with three private landowners for the establishment of a residential and commercial project in Ramat Gan. The project includes plans for 62 residential units in a new residential building that includes facade preservation, as well as commercial areas and a three level garage. The deal was led by EBN’s real estate department, led by partner Daphna Fuchs together with Netanel Dautch and Guy Engel.

Erdinast Ben Nathan & Co. is delighted to announce two groundbreaking additions. Doni Toledano, as head of M&A, and Jonathan Finklestone as head of Project Finance.
Doni Toledano joins with a group of M&A partners and associates, including partners Lior Oren and Dan Sella. Together with EBN’s existing team, the group will comprise 25 lawyers and create one of the largest, most sophisticated and experienced M&A departments in Israel, considerably expanding the pool of corporate transactions and corporate finance experience and enhancing the firm’s reputation in the domestic and international markets. Doni will head the M&A group, working alongside Roy Caner, who will head the High-Tech group, and Yoav Dankner, who will head the Commercial group.
The addition of the renowned Project Finance team into the fold, led by Jonathan Finklestone (together with partners Dr. Tani Zahavi and Guy Kles) which has been consistently ranked in the highest tiers by both international legal directories Chambers Global and Legal 500, brings a wealth of experience which compliments EBN’s existing and renown Energy and Infrastructure department, led by Uri Noy (together with partner Nadav Olgan).

During the course of October 2015, The Ministry of Economy is set to actively enforce the order which encourages the hiring of Individuals with disabilities. EBN’s Labor Law department issued a client update which summarizes the order’s main issues and points, as well as methods for incorporating them (Hebrew).

EBN’s real estate department is representing Amitim Pension Funds in a tender to selling its rights in London Ministor – an iconic landmark in the hear of Tel Aviv. The matter is valued at NIS 40 million and led by Daphana Fuchs, head of EBN’s real estate department.
Attached please find a review of PUA’s hearings dated October 14, 2015, concerning its resolutions to allocate 45 MW for small PV power plants (of up to 5 MW each) and 70 MW for large PV power plants (of more than 5 MW each).
As detailed in the review, both resolutions determine ranked Tariffs, starting with NIS 0.27 per KW and up to NIS 0.311 per KW.
Responses to the proposed resolutions may be submitted by November 10, 2015.

Our firm represents Mr. Moti Ben-Moshe in a legal conflict conducted between Mr. Eduardo Elsztain and himself, with respect to their joint investment in IDB, Israel’s largest holdings corporation. Over the course of an arbitration procedure between Ben-Moshe and Elsztain, Ben-Moshe’s approach had been sided with and it has been declared that Elsztain is exclusively obliged for the entirety of obligations determined in the debt arrangement (including and obligation at the sum of 512 million ILS to perform tender offers) after he purchases Ben-Moshe’s shares for the sum of 152 million ILS. During the aforementioned procedure, an injunction which prevented Ben-Moshe’s removal from IDB’s board of directors was granted in Ben-Moshe’s favor. In another procedure held at the Tel Aviv district court, our firm has succeeded in bringing to the denial of an appeal to initiate foreclosure upon the funds received by Ben-Moshe after selling his shares to Elsztain.

An article focusing on founders’ agreements, written by M&A and Hi-Tech Partners Roy Caner and Viva Gayer was published in ‘Start Israel’. The article highlights the main points to keep in mind when drafting founders’ agreements, and addresses the four main categories of these agreements: establishing the company, the company conduct, departure of a founder, and the relations maintained between the company and its founders once a founder has left.
