Our Practice

EBN’s banking and finance team represents banks, institutional lenders, financial institutions and major borrowers in a wide range of finance transactions, including commercial loans, M&A financing, various banking facilities and syndicated loans. We routinely represent international clients in cross-border financing transactions and advise foreign clients on perfecting securities in Israel. We also advise our clients on all regulatory related matters and represent them before relevant regulators such as the Bank of Israel, the Capital Markets, Insurance and Savings Authority and the Securities Authority.



Representative Experience

  • Representation of the XIO Group and Lumenis Ltd. in a financing transaction with Mizrahi-Tefahot Bank, in connection with the acquisition of Lumenis.
  • Representation of Apax Partners and Psagot Investment House in a refinancing transaction with a consortium led by Bank Hapoalim.
  • Representation of Netafim Ltd. in a refinancing transaction of approximately US$ 500 million with a consortium led by Bank Hapoalim.
  • Representation of Mizrahi-Tefahot Bank in a financing transaction of Polymer logistics in the amount of approximately US$ 75 million.
  • Representation of Nilit Ltd. in an US$ 80 million financing transaction with a consortium of institutional investors led by Mizrahi-Tefahot Bank.
  • Representation of a global multi-billion dollar investment fund in a US$70 million financing transaction, in connection with the establishment of a Middle-Market Israel Fund.
  • Representation of Apax Partners as the controlling shareholder of Tnuva before the Israeli banks in a NIS2.5 billion refinancing transaction.
  • Representation of the controlling shareholders of Bezeq in a large scale refinancing transaction with Bank Leumi.
  • Representation of the Saban Group, in the assumption of debt in connection with its acquisition of a controlling stake in Partner Communications Company Ltd.
  • Mediterranean Car Agency Ltd., importer of Fiat and Alpha Romeo brands, in the financing of its acquisition of Japanauto, importer of the Subaru brand.
