Congrats to our client Permira on the impressive sale of Permira Funds’ majority stake in the $2.4 billion sale of BioCatch to #Visa in an all-cash transaction.

The transaction is expected to close by the end of the second fiscal quarter of 2027, subject to customary closing conditions, including the receipt of applicable regulatory approvals.

Visa is a world leader in digital payments, and BioCatch is a leading provider of behavioral-first, multi-signal fraud intelligence, together building trust into every transaction and helping detect scams, account takeovers, and digital fraud before they happen.

The EBN team that led the transaction includes advs. Doni Toledano, Nitzan Aberbach, and Kobi Barkan from the Corporate and M&A team. Additional support was provided by a multidisciplinary team across the firm, including advs. Yael Benyayer (Governmental Funding), Dr. Eran Lempert and Tal Alon (Tax), Tomer Weissman (Dispute Resolution), Eyal Birenberg (Labor Law), and Lior Etgar (Privacy, Data Protection and Cybersecurity).

We are extremely proud to have represented Permira in this transaction, marking its fifth strategic exit of 2026 to date. This transaction further builds on our longstanding relationship with Permira, having also advised the firm on its acquisition of a majority stake in BioCatch in 2024.

Special thanks to our friends and colleagues at #Latham & Watkins, who acted as U.S. counsel to Permira and led this transaction on behalf of the sellers. It was a pleasure collaborating with such an outstanding team.
