EBN’s Dispute Resolution Department handles some of Israel’s most significant and high-profile commercial cases, including complex contractual disputes, class actions, derivative claims, corporate and securities litigation, and administrative proceedings with broad economic and public implications.

The department leads some of the most complex and large-scale litigation proceedings ever adjudicated in Israel, often involving intricate and precedent-setting legal issues. For example, the department represented a party in a landmark corporate law case that established important principles regarding shareholder separation in private companies (Adler v. Livnat); in another corporate case, the Supreme Court set a key precedent regarding the applicability of the business judgment rule to decisions of a company’s board of directors (Menashe v. U-Vision); in a case that laid foundational principles in corporate and securities law (Shapira v. Dexia Bank); in a groundbreaking class action where the Supreme Court issued far-reaching rulings that have been widely cited in this field (Shemesh v. Reichert); and in one of the most influential Supreme Court cases ever heard on freedom of speech and investigative journalism, which resulted in precedent-setting rulings (Ilana Dayan v. Captain R.); among many others.

Representative Experience

• Representation of the Ukrainian bank PrivatBank, the largest bank in Ukraine, in a lawsuit exceeding NIS 2 billion against the bank’s former controlling shareholders and Bank Discount.

• Representation of Mizrahi-Tefahot Bank in the successful acquisition of Union Bank of Israel, in a transaction valued at approximately NIS 1.4 billion. The merger was initially rejected by the Competition Authority and later approved following a successful appeal before the Competition Tribunal.

• Representation of the Rami Levy Shivuk Hashikma retail chain in substantial legal proceedings.

• Representation of Sabre, a U.S.-based provider of a global distribution system (GDS) for airlines and travel agencies, in a dispute with travel agencies alleging that the company conspired with British Airways to block flight data.

• Representation of businessman Ron Yitzhaki in multiple disputes concerning real estate projects valued at hundreds of millions of NIS, as well as the Yitzhaki Group in a claim filed by the Israel Land Authority for NIS 175 million and a counterclaim valued at over NIS 500 million.

• Representation of the Edmond de Rothschild Group in a lawsuit filed against it for over NIS 100 million.

• Representation of Nofar Energy in a U.S.-based shareholder dispute concerning a US energy company, valued at tens of millions of USD.

• Representation of journalist Ilana Dayan in one of the most significant cases ever heard by the Israeli Supreme Court regarding freedom of speech and investigative journalism.

• Representation of the television program “Uvda” and Keshet Broadcasting Ltd. in various legal proceedings, including a high-profile defamation claim filed in the UK by the company “Black Cube,” as well as a defamation suit filed by Israel’s Minister of National Security, Itamar Ben-Gvir.

• Representation of Channel 13 News and journalist Sefi Ovadia in a defamation lawsuit filed against them by Minister of Transportation Miri Regev.

• Representation of Seagate, a multinational technology corporation, in a shareholder dispute involving an Israeli startup in which Seagate invested.
